WEEZICLOUD END USER LICENSE AGREEMENT (EULA)

Version 1 -- Date: September 8, 2025 Between PROGES-PLUS company, a corporation with capital of 127,332 Euros, having its registered office at 2, rue de la République 59780 WILLEMS France, represented herein by Ms. Maryvonne VIOT-LECLERCQ, in her capacity as Chief Executive Officer hereinafter referred to as PROGES-PLUS And The user (referred to as "THE CLIENT") who subscribes to the WeeziCloud service.

1            Service Description

WeeziCloud is a Cloud platform for monitoring temperatures, humidity and other physical parameters. It works with WeeziDot temperature recorders and allows storage and centralization of temperature and humidity data from a simple web browser. The WeeziCloud service is exclusively intended for professional use. By accessing the service, THE CLIENT acknowledges acting in a professional capacity and not as a private consumer. Acceptance of these terms implies the exclusion of consumer protection rules applicable to individuals.

1.1           Complementary Software

To access or fully utilize the WeeziCloud service, the Client may need to install complementary software or mobile applications developed by PROGES PLUS. These programs are available for download either from the PROGES PLUS download centre or via third-party platforms such as the App Store (Apple) or Google Play Store. Each complementary software or application may be subject to specific terms of use, which the Client undertakes to consult and accept prior to any installation or use. PROGES PLUS cannot be held responsible in case of incompatibility, malfunction or non-compliant use of these software components, particularly if their specific terms of use are not respected.

2         Acceptance of Terms and Initial Access

Access to and use of the WeeziCloud service implies full and complete acceptance of these terms by THE CLIENT and all of its users. These terms are automatically displayed upon each user's first connection. Their acceptance is mandatory to access the service. When the Administrator (main user designated by THE CLIENT) creates or authorizes new users, they act on behalf of the client organization and commit it towards PROGES-PLUS. In case of refusal of the terms by an invited user, access to the service will be blocked for them.

3         Eligibility

The Client's main account is created by PROGES-PLUS, with initial access reserved for the designated Administrator. This Administrator is authorized to create additional access for internal users of their organization (employees, departments, subsidiaries), as well as, where applicable, for their own subcontractors or end customers, within the framework of their professional use of the WeeziCloud service. THE CLIENT undertakes to: PROGES-PLUS reserves the right to suspend or terminate, without compensation, any access created in violation of these rules. Access to the WeeziCloud service is strictly reserved for Clients who have subscribed to an active subscription, directly with PROGES-PLUS or through an authorized distributor. The service is exclusively intended for professional use. By accepting these terms, THE CLIENT declares to act in a professional capacity, and not as a private consumer. THE CLIENT undertakes to: PROGES-PLUS reserves the right to suspend or terminate any access in case of violation of these eligibility conditions.

4        Client Obligations

It is strictly forbidden for the Client to: Any breach of these obligations may result in immediate account suspension, or even termination, without notice, and without refund, without prejudice to civil or criminal proceedings that PROGES-PLUS might initiate. When benefiting from access to the WeeziCloud API, THE CLIENT undertakes to: PROGES-PLUS reserves the right to limit, suspend or block API access in case of abusive behaviour or non-compliance with these terms.

5         Security Responsibilities

THE CLIENT is solely responsible for: It is their responsibility to: PROGES-PLUS cannot be held responsible for the consequences of unauthorized access, data loss or malicious action committed via a user account whose security would have been compromised due to Client negligence.

6         Intellectual Property Rights

WeeziCloud, as well as all its constituent elements (user interface, source code, databases, algorithms, trademarks, logos, documentation, etc.), are the exclusive property of PROGES-PLUS, protected by French and international laws relating to intellectual property. This license grants the Client no ownership rights to the software. THE CLIENT is particularly prohibited, except with express written authorization from PROGES-PLUS, from: Data collected and stored via WeeziCloud remains the exclusive property of the Client. PROGES-PLUS accesses this data only within the framework of maintenance, technical support or service quality improvement, and undertakes never to transmit it to third parties without prior agreement from the Client.

7          Personal Data and GDPR

7.1         Data Collected

PROGES-PLUS collects and processes only personal data strictly necessary for using the WeeziCloud service: last name, first name, email address, preferred language. No sensitive data within the meaning of GDPR (racial origin, political opinions, health, etc.) is collected.

7.2       Purposes and Legal Basis

Personal data is processed for: This processing is based on the legal basis of contract (article 6.1.b of GDPR) and, for marketing communications, on legitimate interest (article 6.1.f) or explicit consent, if necessary.

7.3       Retention Period

Personal data is retained throughout the duration of the active subscription, then archived or deleted within 2 years after the end of the contractual relationship, except contrary legal obligation.

7.4      Security and Subcontracting

Data is hosted at DRI (www.dri.fr), an ISO 27001 certified provider, in France. Technical and organizational security measures are implemented to guarantee their confidentiality and integrity. No transfer outside the EU is made. Any subcontractors act only on PROGES-PLUS instructions and are contractually subject to GDPR.

7.5       User Rights

In accordance with GDPR, THE CLIENT benefits from the following rights: THE CLIENT may exercise their rights by contacting PROGES-PLUS at proges@proges.com. In case of complaint, they may also contact the competent supervisory authority, namely the National Commission for Information Technology and Liberties (CNIL): www.cnil.fr.

8         Data Access, Export and Reversibility

THE CLIENT has secure access to their data at all times via username and password. They can: API access is subject to subscribing to a specific subscription or prior technical agreement. Certain data, notably generated reports or certain metadata, is not accessible via the API. THE CLIENT may, upon request, request an advanced extraction (custom queries, specific formats, etc.), performed by PROGES-PLUS as part of a billable service. In case of contract termination, THE CLIENT may request a complete copy of their data in a structured format (Excel, CSV or equivalent) within 30 days following the end of the subscription. After this period, data will be deleted in accordance with the retention policy.

9         Data Retention

PROGES-PLUS undertakes to retain data collected via WeeziCloud (user data and recorder data) for a maximum duration of one (1) year, provided THE CLIENT maintains an active subscription. In case of non-renewal of the subscription at expiry (annual, triennial...), data is retained for a period of 3 months from the end of the contract, to allow the Client to recover it. After this period, it will be permanently deleted, except contrary legal obligation. For permanent subscriptions, the service is accessible without time limitation, subject to regular account activity. In case of continuous inactivity for more than 24 months (no user connection), PROGES-PLUS reserves the right to deactivate the account and delete data after sending advance notice by email, 30 days before effective deletion. THE CLIENT may request complete recovery of their data in a structured format (Excel, CSV...) only in case of subscription termination, according to the modalities defined in article 8. During the subscription period, data remains accessible via manual export functions available in the service, or by API where applicable. Personal data retention modalities are specified in article 7 of this contract, subject to rights recognized to the Client by GDPR.

10   Hosting and Security

Data is hosted in France at DRI (www.dri.fr), an ISO/IEC 27001 certified provider, guaranteeing a high level of physical and logical security. Servers are located exclusively in the European Union. In case of hosting provider change, PROGES-PLUS undertakes to maintain an equivalent or superior level of security, compliant with GDPR. PROGES-PLUS implements appropriate technical and organizational measures to protect data against unauthorized access, loss, alteration or disclosure.

10.1    Data Flow -- Absence of Incoming Communication

Data generated by recorders installed on the CLIENT's site(s) is transmitted to WeeziCloud servers by the WeeziApp application developed by PROGES PLUS using an outgoing communication mechanism (push), initiated from the CLIENT's local infrastructure. PROGES PLUS sends no data, instruction or incoming flow to the CLIENT's equipment. No remote control, network interrogation or write action from PROGES PLUS servers to the CLIENT's site is performed.

11      Availability and Warranties

PROGES-PLUS guarantees an annual service availability rate of 99%, excluding scheduled maintenance periods (previously announced) or force majeure events. PROGES-PLUS disclaims any responsibility in case of data loss or indirect damage related to temporary service interruption, except in case of proven gross negligence. THE CLIENT is responsible for regular backup of their exports and must report any anomaly within a reasonable time.

11.1       Third-Party Components and Services

WeeziCloud uses certain technical components, JavaScript libraries, stylesheets or services provided by external third parties, notably via public Content Delivery Networks (CDN) (e.g.: Bootstrap, jQuery, Highcharts, Google Fonts...). These elements are used in accordance with their respective licenses and for purposes of improving user experience. PROGES PLUS cannot be held responsible for possible malfunctions, unavailability or security problems related to these third-party components, insofar as they are beyond its direct control. THE CLIENT is informed that some of these services may be hosted outside the European Union, which may result in technical data transfer (e.g. IP addresses). PROGES PLUS undertakes, as far as possible, to favour services compliant with GDPR or offering an equivalent level of protection.

12   Duration and Termination

Access to the WeeziCloud service is subject to subscribing to a paid subscription, whose price, duration and payment conditions are defined in the commercial offer transmitted to the Client by PROGES-PLUS or one of its authorized distributors. These conditions form an integral part of the agreement between the parties. WeeziCloud subscriptions are taken out for a determined duration, annual or triennial by choice. 30 days before the expiry date, PROGES-PLUS or one of its authorized distributors contacts the Client to offer subscription renewal. In case of explicit agreement from the Client, service access is extended for the duration indicated in the renewal offer. In the absence of response or in case of refusal, the subscription ends at expiry. From this date: PROGES-PLUS also reserves the right to suspend or terminate a subscription in case of serious breach by the Client of these terms (abusive use, bypass attempts, etc.). Early termination does not give rise to any refund, except contrary provision expressly agreed upon. In all cases, THE CLIENT may terminate their subscription by written request (email or letter) addressed before the expiry date to: proges@proges.com, or by letter to PROGES-PLUS headquarters.

13   Technical Support

PROGES-PLUS provides technical support by email and telephone, in French, English and Spanish, during business days (Monday to Friday, excluding French public holidays), from 9 AM to 12:30 PM and from 1:30 PM to 5:30 PM (Paris time). Requests can be addressed to: support@proges.com or by telephone at +33 3 20 64 63 63. Although PROGES-PLUS strives to respond to requests as quickly as possible --- generally within the hour --- no response time is contractually guaranteed, except specific agreement formalized by a service level agreement (SLA).

14  Force Majeure

PROGES-PLUS cannot be held responsible for any failure to meet its contractual obligations in case of occurrence of an event independent of its will and constituting a case of force majeure, as defined in article 1218 of the Civil Code and by French jurisprudence. Are notably considered as cases of force majeure, without this list being exhaustive: natural disasters, fires, floods, internal or external strikes, epidemics, acts of war or terrorism, internet or telecommunications network failures, hosting server failures, or cyberattacks. In case of force majeure, PROGES-PLUS may temporarily suspend service access or, if execution becomes permanently impossible, terminate the contract without compensation. THE CLIENT will be informed as soon as possible of the occurrence of such an event and its consequences.

15   Modification of Terms

PROGES-PLUS reserves the right to modify these terms of use at any time, notably to adapt them to the legal, technical or commercial evolution of the WeeziCloud service. Any modification will be subject to visible notification upon service connection. THE CLIENT will be invited to consult the new terms on this occasion. THE CLIENT will be deemed to have accepted the new terms if they continue to use the service beyond a 30-day period following the first notification. In case of substantial modification (major evolution of pricing, essential functionalities, or personal data processing), THE CLIENT may express their refusal in writing within the same 30-day period. In this case, they may terminate their subscription without penalty, and request recovery of their data according to the modalities provided in article 7.

16   Applicable Law -- Competent Jurisdiction

This contract is governed by French law. Any dispute relating to the interpretation or execution of these terms will be under the exclusive jurisdiction of the Commercial Court of Lille Métropole even in case of plurality of defendants or third-party claims.

17    Translation -- Contractual Reference

An English version of this contract is provided for informational purposes for non-French speaking users. In case of contradiction, interpretation divergence or translation between versions, the French version prevails and constitutes the only legally binding version between the parties.
